Mobile App End Users Licence Agreement

Before installing the RICS Members Mobile App, please ensure that your device meets the minimum technical specifications for the proper operation of this App. By installing or using the App and/or any updates to such software provided by RICS (the "App"), you, as the user of the App ("you"), agree to the following terms which are legally binding so please read carefully:

1. General Terms

This end user licence agreement (the “EULA”) constitutes a legally binding agreement between you and The Royal Institution of Chartered Surveyors governing your access to and use of the RICS Members App mobile application and any related services (together, the “App”).

By downloading, installing, accessing or using the App, you confirm that you have read, understood and agree to be bound by this EULA. If you do not agree, you must not access or use the App.  If you wish to terminate this contract, at any time you can do so by closing your App account and no longer accessing or using our App. On termination, you lose the right to access or use the services provided by the App.

This EULA applies subject always to Applicable Laws (as defined below). In the event of any conflict between this EULA and Applicable Laws, the relevant provisions of Applicable Laws shall prevail to the extent of the conflict, and the remainder of this EULA shall continue in full force and effect.

Who we are and what this agreement does

The App is operated by the Royal Institution of Chartered Surveyors, a body incorporated by Royal Charter (together with its subsidiaries and affiliated entities, “RICS”, or “we”, “us”, “our”).

The App is made available exclusively to RICS Members for the purposes set out in this EULA.

By downloading, installing or using the App, you confirm that you:

  • are a current RICS Member;
  • have read and understood this EULA; and
  • have read and understood the RICS Privacy Policy and Cookies Policy as they apply to your access and use of the App.

We and our licensors license you to use: 

  • RICS Members App mobile application mobile application software, the data supplied with the software, and any updates or supplements to it.
  • The related online or electronic documentation pertaining to the functionality and use of the App (“Documentation”).
  • The service you connect to via the App and the content we provide to you through it (“Service”).

Definitions and interpretation

In this EULA:

  • Account means a registered User account created through the App.
  • Applicable Laws means all laws, statutes, regulations, directives, codes of practice and legally binding requirements that apply to a party in connection with this EULA, including (where applicable) mandatory consumer protection laws, including any laws conferring statutory rights or remedies on consumers which cannot be excluded, restricted or waived by contract.
  • Appstore means Apple’s App Store or Android Google Play and any other authorised app distribution platform.
  • Content means all text, data, and other materials made available through the App.
  • Digital Membership Credential means any digital card, identifier, badge or verification feature made available through the App that indicates your RICS Membership Status.
  • Membership Status means a RICS Member’s standing with RICS, including whether their membership, accreditation or registration is active, suspended, restricted or terminated.
  • Open-Source and Third-Party Components Schedule means the schedule to this EULA identifying Third-Party Components and applicable Third-Party Terms at Appendix 1, as updated from time to time.

RICS Member means an individual who:

  • holds a current category of membership, accreditation or registration with RICS as a fellow, chartered, associate or other recognised categories, as applicable from time to time; and
  • is entitled, in accordance with RICS Membership Rules and Regulatory Requirements, to access the App at the relevant time.

A person shall cease to be a RICS Member for the purposes of this EULA if their membership, accreditation or registration expires, is suspended, withdrawn or otherwise restricted so that access to the App is no longer permitted. 

  • RICS Membership Rules and Regulatory Requirements means all rules, regulations, standards, codes, guidance, policies and requirements issued or applied by RICS from time to time that govern:
  • membership, accreditation or registration with RICS;
  • professional conduct, ethics and competence;
  • disciplinary, regulatory and enforcement processes; and
  • the use of RICS marks, credentials or membership designations,

in each case as amended, supplemented or replaced from time to time.

  • Third-Party Components means software, code, libraries, SDKs, APIs, services or other components owned or licensed by third parties, including open-source software, that are incorporated into or used by the App, as set out in the Open-Source and Third-Party Components Schedule to this EULA.
  • Third-Party Terms means the licence terms, conditions or notices applicable to Third-Party Components.
  • User or you means any RICS Member who accesses or uses the App and is bound by the EULA.

2. Your privacy

Under data protection legislation, we are required to provide you with certain information including who we are, how we process your personal data and for what purposes and your rights in relation to your personal data and how to exercise them. This information is provided in RICS Privacy and Cookies Policy found on our website and in particular under the sections specific to mobile applications and it is important that you read that information.

3. About the App, its Suitability and How to Use the App

The App is provided to support RICS Members by enabling access to certain membership-related information and functionality, which may include: 

  • digital membership credentials;
  • CPD (Continued Professional Development) recording and management;
  • Membership Status information;
  • communications and notifications regarding RICS-updates and events; and
  • other administrative or informational features made available from time to time.

For a more detailed description of the App’s functionality and Service specification please refer to the Documentation.

Check that the App and the Services are suitable for you. The App and the Services have not been developed to meet your individual requirements. Please check that the facilities and functions of the App and the Services (as described on the Appstore site and in the Documentation) meet your requirements.

 (as notified or updated by RICS) and if the such rules and policies are expressed to take precedence over this EULA they will apply instead of this EULA where there are differences between the two.

Operating system & back up requirements. The App store will inform you of the minimum operating system requirements . Please note carefully any device and operating system specifications notified to you at the point of purchase and/or download of the App. You acknowledge that we have no obligation whatsoever to furnish any maintenance and support services with respect to the App. Please back-up content and data used with the App. We recommend that you back up any content and data used in connection with the App, to protect yourself in case of problems with the App or the Service.

Support for the App and how to tell us about problems

Support. If you want to learn more about the App or the Service or have any problems using them please take a look at our support resources at Contact RICS or contactrics@rics.org.

Contacting us (including with complaints). If you think the App or the Services are faulty or misdescribed or wish to contact us for any other reason, please email our customer service team at Contact RICS or contactrics@rics.org.

How we will communicate with you. If we have to contact you we will do so through the App and/or by email, using the contact details you have provided to us.

How you may use the App, including how many devices you may use it on

In return for your agreeing to comply with this EULA you may: 

  • download or stream a copy of the App via the device store onto devices registered to you and view, use and display the App and the Service on such devices for your personal purposes only.
  • use any Documentation to support your permitted use of the App and the Service.
  • receive and use any free supplementary software code or update of the App incorporating "patches" and corrections of errors as we may provide to you.

You must be 18 to accept this EULA and download the App

You must be 18 or over to accept this EULA and use the App. 

To access certain features, you must create an Account. You are responsible for all activity conducted through your Account. 

In creating an Account, you agree to:

  • provide accurate, complete and truthful information about your identity and intended use of the App;
  • keep your login credentials confidential and not share them with any other person; and
  • notify us promptly of any unauthorised access to your Account.

You may not transfer the App to someone else

We are giving you personally the right to use the App and the Service as set out above "HOW YOU MAY USE THE APP" section. You may not otherwise transfer the App or the Service to someone else, whether for money, for anything else or for free. If you sell any device on which the App is installed, you must remove the App from it.

If someone else owns the phone or device you are using

If you download or stream the App onto any phone or other device not owned by you, you must have the owner's permission to do so. You will be responsible for complying with this EULA, whether or not you own the phone or other device.

4. Licence restrictions

The licence to you under this EULA shall be limited, personal, non-exclusive, non-transferable and revocable and granted solely for the purposes of downloading, installing and using the App on a compatible mobile device in accordance with this EULA and access and use the Services and Documentation:

  • solely for your own use as a RICS Member;
  • for non-commercial purposes; and
  • only for the duration of your active RICS membership.

You agree that you will:

  • not rent, lease, sub-license, loan, provide, or otherwise make available, the App or the Services in any form, in whole or in part to any person without prior written consent from us;
  • not copy the App, Documentation or Services, except as part of the normal use of the App or where it is necessary for the purpose of back-up or operational security;
  • not copy, reproduce, publish or distribute any Content, use Content for commercial purposes, create derivative works from Content, or make Content available to third parties, without our prior written consent;
  • not translate, merge, adapt, vary, alter or modify, the whole or any part of the App, Documentation or Services nor permit the App or the Services or any part of them to be combined with, or become incorporated in, any other programs, except as necessary to use the App and the Services on devices as permitted in this EULA;
  • not disassemble, de-compile, reverse engineer or create derivative works based on the whole or any part of the App or the Services nor attempt to do any such things, except to the extent that (by virtue of sections 50B and 296A of the Copyright, Designs and Patents Act 1988) such actions cannot be prohibited because they are necessary to decompile the App to obtain the information necessary to create an independent program that can be operated with the App or with another program (Permitted Objective), and provided that the information obtained by you during such activities:
    • is not disclosed or communicated without our (or our licensor's) prior written consent to any third party to whom it is not necessary to disclose or communicate it in order to achieve the Permitted Objective; and
    • is not used to create any software that is substantially similar in its expression to the App;
    • is kept secure; and
    • is used only for the Permitted Objective;
    • comply with all applicable technology control or export laws and regulations that apply to the technology used or supported by the App or any Service.

5. Third-Party Components and Open-Source Software

The App incorporates, relies upon, or interacts with Third-Party Components, including proprietary third-party software, services and open-source software, which are not developed or controlled by RICS.

Your use of Third-Party Components is subject to the applicable Third-Party Terms, which are incorporated into this EULA by reference and identified in the Open-Source and Third-Party Components Schedule attached to this EULA.

Where any Third-Party Terms (including open-source licence terms) impose obligations, restrictions or conditions that are inconsistent with this EULA, the relevant Third-Party Terms shall prevail solely in respect of the relevant Third-Party Component.

To the fullest extent permitted by law:

  • Third-Party Components are provided “as is” and under the Third-Party Terms by their respective licensors;
  • RICS gives no warranties, representations or guarantees in relation to Third-Party Components;
  • RICS does not control and is not responsible for the availability, accuracy, performance, security, continuity or functionality of any Third-Party Components; and
  • RICS shall not be liable for any loss or damage arising from the use of, or inability to use, any Third-Party Components.

By accessing and using the App you acknowledge and agree that:

  • you are bound directly by the applicable Third-Party Terms;
  • compliance with those Third-Party Terms is a condition of your right to use the App; and
  • any breach of the Third-Party Terms constitutes a breach of this EULA.

Without prejudice to the generality of this section of the EULA: 

  • Certain Third-Party Components may include or consist of software made available under open-source or similar licensing models (“Open-Source Software” or “OSS”).
  • OSS is licensed not sold, and is made available subject to the applicable OSS licence terms under specified in the Open-Source and Third-Party Components Schedule, which may include requirements relating to:
    • attribution or copyright notices;
    • inclusion of licence texts; 
    • source code availability; and/or 
    • restrictions on modification or redistribution.

Where OSS is included in the App:

  • the applicable OSS licence terms apply directly to you in respect of the relevant OSS; and 
  • to the extent required by those licence terms, they shall prevail over this EULA solely in respect of the relevant OSS.

RICS does not provide any assurance or warranty that OSS is free from defects, fit for any particular purpose or suitable for your requirements.

Notwithstanding the provisions above and https://www.rics.org/footer/rics-org-terms-and-conditions, we reserve the right to change, replace, add, remove, modify or discontinue any Third-Party Components used in the App and the Services at any time and amend the EULA, including the Open-Source and Third-Party Components Schedule to reflect such change.

RICS is under no obligation to maintain compatibility with any specific Third-Party Component.

Nothing in this EULA:

  • grants you any right, title or interest in or to any Third-Party Component; or
  • constitutes a sublicence of any Third-Party Component beyond the rights expressly granted under the applicable Third-Party Terms and this EULA.

You shall indemnify and keep indemnified RICS from and against all losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • your breach of any applicable Third-Party Terms; or
  • Any claim by a third-party licensor arising from your use of the App and/or Services in breach of this EULA.

6. Acceptable use restrictions

You must:

  • use this App, the Services and Documentations in accordance with all Applicable Laws and RICS Membership Rules and Regulatory Requirements.
  • not use the App or any Service in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this EULA, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into the App, any Service or any operating system;
  • not infringe our intellectual property rights or those of any third party in relation to your use of the App or any Service (to the extent that such use is not licensed by this EULA);
  • not transmit any material that is defamatory, offensive or otherwise objectionable in relation to your use of the App or any Service;
  • not use the App or any Service in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other Users;
  • not collect or harvest any information or data from any Service or our systems or attempt to decipher any transmissions to or from the servers running any Service;
  • not misuse or falsify Digital Membership Credentials;
  • misrepresent your Membership Status as a RICS Member;
  • comply with the Acceptable User Guidelines in Appendix 2 as updated by RICS from time to time and
  • not use the App in a way that implies endorsement or certification where none exists.

7. Membership status and termination

Your right to access and use the App automatically terminates if:

  • your RICS membership expires, is suspended or terminated;
  • your Membership Status no longer permits access; or
  • access is withdrawn for regulatory, security or operational reasons.

Termination may occur without notice where required by Applicable Law or RICS Membership Rules and Regulatory Requirements.

Upon termination, you must immediately stop using the App, Services and Documentation and delete the App from all devices under your control.

Non-compliance termination 

We may end your rights to use the App and Services at any time by contacting you if you have broken the terms of this EULA.If we end your rights to use the App and Services: 

  • You must stop all activities authorised by this EULA, including your use of the App, Content and any Services.
  • You must delete or remove the App from all devices in your possession and immediately destroy all copies of the App which you have and confirm to us that you have done this.

8. Fees and future commercial features

The App and Services are currently made available to RICS Members on a free-to-use basis. 

Nothing in this EULA creates any obligation on RICS to continue making the App, the Services, or any part of it, available free of charge. 

RICS reserves the right, at any time, to:

  • introduce fees for access to the App or any part of it;
  • require payment for specific features, functionality or Services; or
  • introduce subscription-based, usage-based or other charging models.

Any such fees will be notified in advance and implemented in accordance with Applicable Laws and RICS Membership Rules and Regulatory Requirements, and applicable Appstore requirements.

9. Advertising, affiliate links and third-party services

The App may display advertising content, sponsored placements or promotional messages within the App interface.

The App may include links, integrations or references to third-party services, which are provided for informational or convenience purposes only.

These are independent websites which are not provided by us. Such independent sites are not under our control, and we are not responsible for and have not checked and approved their content or their privacy policies (if any). We do not:

  • control or operate third party services;
  • endorse third-party products or services; or
  • make representations or give warranties in relation to third-party products or services.

To the fullest extent permitted by Applicable Law, we disclaim all liability for losses, damages or claims arising out of or in connection with: 

  • your use of or reliance on third-party websites;
  • transactions entered into between you and third parties; or
  • acts or omissions of third-party service providers.

10. Intellectual property rights

All intellectual property rights in the App, including its software, source code, object code, user interface, databases, algorithms, models, design elements, trademarks and branding, the Documentation, and the Services throughout the world belong to us (or our licensors) and the rights in the App and the Services are licensed (not sold) to you. You have no intellectual property rights in, or to, the App, the Documentation or the Services other than the right to use them in accordance with this EULA.

You retain ownership of any content or data you submit through the App. By using the App, you grant RICS a non-exclusive, royalty -free, worldwide licence to host, store, reproduce, display process and use such content and data solely for the purposes of operating, administering, improving and regulating the App, RICS membership and Services, in accordance with Applicable Laws and RICS Membership Rules and Regulatory Requirements.

We are the owner of the registered trademark for Royal Institution of Chartered Surveyors, RICS and RICS lionhead devices, together with any related names, logos, trade dress and branding (together, the “Marks”). Nothing in this EULA grants you any right, licence or interest in the Marks. You must not use, reproduce, display or otherwise exploit the Marks, in whole or in part, without our prior written consent, except to the extent required to use the App in accordance with this EULA.

11. Our responsibility for loss or damage suffered by you

Disclaimer of Warranty

NEITHER RICS NOR ITS THIRD-PARTY PROVIDERS WARRANT THE APP WILL PERFORM IN ACCORDANCE WITH ANY SPECIFICATIONS, DOCUMENTATION, OR OTHER STANDARDS, PERFORM IN AN UNINTERRUPTED CAPACITY, BE ERROR-FREE OR BUG-FREE, PROVIDE COMPLETE OR ACCURATE DATA, NOR DO THEY MAKE ANY WARRANTIES AS TO THE RESULTS TO BE OBTAINED FROM THE USE OF THE APP. USE OF THE APP AND RELIANCE THEREON IS AT YOUR SOLE RISK.
 
NEITHER RICS NOR ITS THIRD-PARTY PROVIDERS WILL IN ANY WAY BE LIABLE TO YOU OR ANY OTHER ENTITY OR PERSON FOR THEIR INABILITY TO USE THE APP, OR FOR ANY INACCURACIES, ERRORS, OMISSIONS, DELAYS, COMPUTER VIRUSES OR OTHER INFIRMITY OR CORRUPTION, DAMAGES, CLAIMS, LIABILITIES OR LOSSES, REGARDLESS OF CAUSE, IN OR ARISING FROM THE USE OF THE APP. THE APP IS PROVIDED ON AN "AS IS" BASIS AND WITHOUT WARRANTY OR ANY TECHNICAL SUPPORT OF ANY KIND. NO WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR OF ANY OTHER TYPE IS PROVIDED HEREUNDER.
 
NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY RICS OR ITS AUTHORISED REPRESENTATIVE SHALL CREATE A WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability

‍READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU

RICS AND ITS AFFILIATES AND EACH OF THEIR LICENSORS, THIRD-PARTY PROVIDERS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY:

  • SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, LOSS OF BUSINESS OPPORTUNITY;
  • UNAUTHORISED ACCESS TO, LOSS OF, DELETION OF, OR ALTERATION OF SYSTEM DATA, CUSTOMER CONTENT, OR CUSTOMER DATA;
  • COSTS RELATED TO THE PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
  • TERMINATION, SUSPENSION, DISCONTINUANCE, OR DISCONNECTION OF THE SERVICES;
  • A FAILURE OF YOUR INTERNET SERVICES, DOWNTIME, OR MAINTENANCE;
  • OUR FAILURE TO PROVIDE TECHNICAL OR OTHER SUPPORT SERVICES; OR
  • DAMAGES, IN THE AGGREGATE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT, EXCEEDING THE AMOUNT ACTUALLY PAID BY YOU FOR THE SERVICES (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT OR CIRCUMSTANCES GIVING RISE TO SUCH CLAIMS. 

THESE EXCLUSION OF DAMAGES AND LIMITATIONS ON AVAILABLE DAMAGES APPLY TO ALL CLAIMS, OBLIGATIONS, AND LIABILITIES ARISING OUT OF OR RELATED TO THIS AGREEMENT, AND WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY), STATUTE, CONTRACT, OR ANY OTHER LEGAL THEORY, EVEN IF RICS, ITS AFFILIATES, OR OUR LICENSORS OR SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY THAT SUCH DAMAGES MAY BE INCURRED BY YOU AND EVEN IF YOUR REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE.

BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OF DAMAGES OR LIMITATIONS ON LIABILITY, THE ABOVE LIMITATION ONLY APPLIES TO YOU TO THE EXTENT THAT THE EXCLUSIONS OF DAMAGES OR LIMITATIONS ON LIABILITY ARE NOT PROHIBITED UNDER APPLICABLE LAW.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors or for fraud or fraudulent misrepresentation.

When we are liable for damage to your property. If defective digital content that we have supplied damages a device or digital content belonging to you, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

We are not liable for business losses. The App is for personal and private use. If you use the App for any commercial, business or resale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Limitations to the App and the Services. The App is provided for informational and administrative purposes only and does not constitute professional, legal, financial or regulatory advice. Official RICS records, registers and determinations are as set out and in accordance with RICS Membership Rules and Regulatory Requirements which shall prevail over any information displayed in the App. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of information obtained from the App or the Service. Although we make reasonable efforts to update the information provided by the App and the Service, we make no representations, warranties or guarantees, whether express or implied, that such information is accurate, complete or up to date.

You are solely responsible for ensuring that any information you submit or updated through the App (including CPD records, personal details or professional information) is accurate, complete and up to date. RICS is not responsible for, and shall have no liability arising from, any change to your Membership Status, regulatory standing or compliance position that results from inaccurate, incomplete, misleading or late information submitted by you through the App. The App may provide alerts, notifications or reminders (including in relation to CPD deadlines, renewals or communications). Such notifications are provided for convenience only and do not replace your independent obligation to comply with the RICS Membership Rules and Regulatory Requirements.

Except as required by Applicable Laws and subject to our obligation to provide the App and Services with reasonable care and skill, the App and the Services made available through it are provided on an “as is” and “as available” basis. To the fullest extent permitted by Applicable Laws, we do not make any representations or warranties, whether express, implied or statutory, including any implied warranties of accuracy, completeness, reliability, fitness for a particular purpose or non-infringement.

You acknowledge that: 

  • access to and use of the App and Services depends on internet connectivity, mobile networks and third-party systems;
  • the App and Services may be affected by delays, interruptions, transmission failures, security risks or other issues inherent in the use of the internet and electronic communications; and
  • we do not guarantee that the App will be uninterrupted, error-free, secure or free from defects.

12. We are not responsible for events outside our control. If our provision of the Services or support for the App or the Services is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event but if there is a risk of substantial delay you may contact us to end your contract with us and receive a refund for any Services you have paid for but not received.

13. Changes to this EULA

We may need to change the terms of this EULA from time to time to reflect changes in law or best practice or to deal with additional features which we introduce or otherwise as necessary to reflect changes to the App or the Services.

We will use reasonable endeavours to notify you of any change by sending you an email with details of the change or notifying you of a change when you next start the App.

If you do not accept the notified changes, you may not be permitted to continue to use the App and the Service.

From time to time, we may update the App and change the Service to improve performance, enhance functionality, reflect changes to the operating system or address security issues. Alternatively, we may ask you to update the App for these reasons, e.g. by asking you to download the latest version of the App or your device’s operating system.

If you choose not to install such updates or if you opt out of automatic updates you may not be able to continue using the App and the Services.

14. We may transfer this agreement to someone else

We may transfer our rights and obligations under this EULA to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under the contract.

15. Non-transferrable right to use the App

Your right to use the App is personal to you and may not be transferred, assigned or sublicensed to any other person.

16. No rights for third parties

This agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.

17. If a court finds part of this contract illegal, the rest will continue in force

Each of the paragraphs of this EULA operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

18. Even if we delay in enforcing this contract, we can still enforce it later

Even if we delay in enforcing this agreement, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under this EULA, or if we delay in taking steps against you in respect of your breaking this agreement, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

19. Which laws apply to this agreement and where you may bring legal proceedings

This EULA are governed by the laws of England and Wales and you can bring legal proceedings in respect of the products in the English and Wales courts. If you live in Scotland you can bring legal proceedings in respect of the products in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the products in either the Northern Irish or the English courts.

20. Additional Terms Required by Apple Inc.

a.This End User License Agreement is between You and RICS only, and not with Apple. We are solely responsible for the App.

b. Your use of the App must comply with the Usage Rules set forth in the Apple App Store Terms of Use. The license granted to You for the App is a non-transferable license to use the App on any iOS Products that You own or control and as permitted by the Usage Rules set forth in the App Store Terms of Service, except that such App may be accessed, acquired, and used by other accounts associated with you via Apple's Family Sharing program or volume purchasing.

c. We are solely responsible for providing and Apple has no obligation to provide maintenance and support for the App. Support requests, as well as questions or complaints regarding the App, may be directed to RICS at contactrics@rics.org.

d. In the event of any failure of the App to comply with any warranty that may exist as a matter of law, You may notify Apple, and Apple will refund the purchase price for the App to You. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and will not be liable for any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty. We shall not be required to provide a refund to you under any circumstances.

e. Apple shall not be responsible for addressing any claims by You or any third party relating to the App or your possession and/or use of the App, including but not limited to (i) product liability claims, (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement, or (iii) claims arising under consumer protection or similar legislation.

f. Apple shall not be responsible for the investigation, defence, settlement or discharge of any claim that the App, or your possession and use of the App, infringes a third party's intellectual property rights.

g. You represent and warrant that (i) the App will not be downloaded or used in, or transported to, a country that is subject to a U.S. Government embargo, or has been designated by the U.S. Government as a "terrorist-supporting" country, and (ii) You are not listed on any U.S. Government list of prohibited or restricted parties.

h. Apple and its subsidiaries are third-party beneficiaries of this End User License Agreement, and have the right (and shall be deemed to have accepted the right) to enforce this EULA against You.
 
Additional Terms Required by Google Inc.

a. This End User License Agreement constitutes an end user license agreement (EULA) in lieu of any license grant provided by Google to use the App on a Supported Device. This End User License Agreement is between you and RICS only, and not with Google. We are solely responsible for the App. 

b. The Google Play marketplace is owned and operated by Google Inc. Your use of Google Play is governed by a legal agreement between You and Google consisting of the Google Terms of Service (found at http://www.google.com/accounts/TOS) and the Google Play Terms of Service (found at https://play.google.com/intl/en-US_us/about/play-terms.html and together with the Google Terms of Service called the "Terms"). In addition, your use of Google Play is subject to the Google Play Business and Program Policies (http://play.google.com/about/android-developer-policies.html). The Google Play Market Terms of Service, Google Play Business and Program Policies, and Google Terms of Service shall take precedence in that order in the event of a conflict between them, to the extent of such conflict.

c. We are solely responsible for providing and Google has no obligation to provide maintenance and support for the App. Support requests, as well as questions, complaints or claims regarding the App, may be directed to us, which you may contact by email at contactrics@rics.org.

i. In order to continually innovate and improve Google Play, Google may collect certain usage statistics from Google Play and Supported Devices, including but not limited to, information on how Google Play and Supported Devices are being used. The data collected is examined in the aggregate to improve Google Play for users and developers and is maintained in accordance with Google's Privacy Policy. To ensure the improvement of the App, limited aggregated data may be available to RICS upon its written request.

SDKs

Adobe Experience Platform SDK

The app uses Adobe Experience Platform SDK for analytics and user experience measurement.

Firebase SDK (Google)

The app uses Google Firebase services for app functionality such as push notifications.

Expo SDK / Platform

The underlying mobile app framework and runtime is supported by the Expo Platform.

Azure Application Insights (Microsoft)

The app will use Microsoft Azure Application Insights for application monitoring and diagnostics.

Analytics Tools Used

The mobile app will make use of two analytics tools primarily:

1. Adobe Analytics

Tracking page views and app launch events, each of which RICS has requested to contain the following data:

  • Member ID (if a member is logged in)
  • Member email (if a member is logged in)

2. Azure App Insights

This system will track app crashes and errors to support identifying and resolving any issues with app functionality.

Appendix 2 Acceptable Use Guidelines

These guidelines form part of the End User Licence Agreement (EULA) with any updates by RICS from time to time. By using this app, you agree to following: 

Use of the App

You will:

  • Use the app only for its intended purpose and in a lawful, respectful way.
  • Be considerate and respectful when interacting with others.

Prohibited Use

You must not:

  • Harass, bully, threaten, or abuse others.
  • Share illegal, harmful, explicit, or misleading content.
  • Infringe copyright, commit plagiarism, or upload content you do not have the right to use.
  • Advertise, endorse, or promote any products, services, organisations, or events.
  • Share content containing advertising, promotional material, or links to external websites, platforms, or services.
  • Impersonate others or misuse personal data.
  • Attempt to disrupt, damage, or gain unauthorised access to the app or its systems.

If you experience or observe behaviour that raises safety, misconduct or safeguarding concerns:

Failure to follow these guidelines may result in warnings, suspension, or termination of access to the App, in accordance with the EULA.
