Overview

Birmingham Local Members Group is pleased to offer the next session in our series with Sunderland Ives.

The administration of construction contracts is an important role for both project managers and surveyors. For this reason, a sound knowledge of contract law is essential for the interpretation and administration of contracts. This session will provide a helpful reminder on some of the key features of contract law and how they are applied to construction contracts. Nick Sunderland (Director and Co Founder of Sunderland Ives) will present this session.

The different areas to be covered in this session shall be:

  • Offer, acceptance and consideration – formation of contract
  • Incorporating terms by reference but not including them into the agreement (e.g. available for inspection)
  • In what situations can acceptance be made by conduct of one of the parties
  • Estoppel and waiver (can the parties rely on terms strictly when previous conduct has relaxed the rules)
  • Discrepancies and ambiguities between terms of the contract including amendments thereto (how should they be construed and interpreted)
  • The application of implied terms when the terms of the contract are silent on a situation
  • The law of damages for breach of contract (general common law damages and liquidated damages), including defences of mitigation
  • Limitation period for liability for defects
  • Prevention and time at large and the meaning of time is of the essence.
